The selling stockholders purchased the shares of common stock, pre-funded warrants, Series A common stock warrants and Series B common stock warrants from us pursuant to a securities purchase agreement, dated July 17, 2023. In addition, we issued placement agent Series A common stock warrants and placement agent Series B common stock warrants to the designees of the placement agent pursuant to an engagement letter, dated May 23, 2023, as amended on July 17, 2023.

 

 

 

We are not selling any of our common stock pursuant to this prospectus, and we will not receive any proceeds from the sale of our common stock offered by this prospectus by the selling stockholders.

AcelRx Pharmaceuticals, Inc.

 

Overview

 

We are a specialty pharmaceutical company focused on the development and commercialization of innovative therapies for use in medically supervised settings. Our lead product candidate, Niyad™, is a lyophilized formulation of nafamostat and is currently being studied under an investigational device exemption as an anticoagulant for the extracorporeal circuit, and has received breakthrough device designation status from the U.S. Food and Drug Administration. We are also developing two pre-filled syringes in-licensed from our partner Laboratoire Aguettant: Fedsyra™, a pre-filled ephedrine syringe, with an expected new drug application filing in 2023, and PFS-02, a pre-filled phenylephrine syringe with an expected new drug application filing in 2024.

 

Our strategy is focused on developing, obtaining approval and commercializing our product candidates, Niyad and the pre-filled syringes. Accordingly, we divested DSUVIA to Alora Pharmaceuticals, LLC in April 2023, who will continue to commercialize the product and pay us sales-based milestone and other payments. We believe this will maximize the value of DSUVIA as Alora has more available resources to invest on DSUVIA commercialization and as a result can execute a more robust commercial plan to support DSUVIA sales expansion, while we further reduce our operating costs. We have no plans on further developing or commercializing any of our other sufentanil sublingual product candidates. We are focused on achieving an Emergency Use Authorization for Niyad in 2023, and if successful, we expect to begin commercialization, while also initiating the clinical study for full regulatory approval.

 

Private Placement of Shares of Common Stock and Warrants

 

On July 17, 2023, we entered into a securities purchase agreement with the selling stockholders pursuant to which we issued in a private placement transaction, or the Private Placement:

 

 

5,340,591 shares of common stock, par value $0.001 per share;

 

 

Pre-funded warrants to purchase up to an aggregate of 2,012,356 shares of common stock at an exercise price of $0.001 per share;

 

 

Series A common stock warrants to purchase up to an aggregate of 7,352,947 shares of common stock at an exercise price of $1.11 per share; and

 

 

Series B common stock warrants to purchase up to an aggregate of 7,352,947 shares of common stock at an exercise price of $1.11 per share.

 

Each share of common stock and each pre-funded warrant which is exercisable for a share of common stock was accompanied by (i) a Series A common stock warrant to purchase one share of common stock, and (ii) a Series B common stock warrant to purchase one share of common stock.

 

The Series A and B common stock warrants are exercisable by means of cash and have a term ending on July 20, 2028. Upon the achievement and public announcement of certain milestones, the term of such warrants will be reduced to 45 days following such announcement. If at the time of exercise there is no effective registration statement registering, or no current prospectus available for, the resale of the shares of common stock issuable upon exercise of such warrants the selling stockholders may also exercise the warrants at their election, in whole or in part, at such time by means of a net exercise of the warrant on a cashless basis. The Series A and B common stock warrants provides for proportional adjustment of the number and kind of securities purchasable upon exercise of the warrants and the per share exercise price upon the occurrence of certain events such as stock splits, combinations, reverse stock splits and similar events.

In May 2023, we engaged H.C. Wainwright & Co., LLC to act as placement agent in the Private Placement. We agreed to pay the placement agent a cash fee equal to 5.25% of the aggregate gross proceeds generated from the Private Placement and to reimburse certain expenses of the placement agent in connection with the Private Placement in an amount not to exceed $100,000. The placement agent will also be entitled to an additional one-time payment of $200,000 upon the exercise of the Series A and Series B common stock warrants resulting in cumulative aggregate gross proceeds to AcelRx of at least $9.5 million in cash. In addition, we issued to the placement agent’s designees:

 

 

Placement agent Series A common stock warrants to purchase up to an aggregate of 183,824 shares of common stock at an exercise price of $1.70 per share; and

 

 

Placement agent Series B common stock warrants to purchase up to an aggregate of 183,823 shares of common stock at an exercise price of $1.70 per share.

 

Use of Proceeds

 

We will not receive any of the proceeds from the sale of shares of our common stock by the selling stockholders in this offering. The selling stockholders will receive all of the proceeds from the sale of shares of our common stock hereunder.

Our authorized capital stock consists of 200,000,000 shares of common stock and 10,000,000 shares of preferred stock, $0.001 par value. As of July 20, 2023, we had 16,340,118 shares of common stock issued and outstanding and no shares of preferred stock issued and outstanding.

 

A description of the material terms and provisions of our amended and restated certificate of incorporation and amended and restated bylaws affecting the rights of holders of our capital stock is set forth below. The description is intended as a summary, and is qualified in its entirety by reference to our amended and restated certificate of incorporation and our amended and restated bylaws which are incorporated by reference into the registration statement of which this prospectus is a part.

 

Common Stock

 

Voting Rights. Each holder of common stock is entitled to one vote for each share on all matters submitted to a vote of the stockholders, including the election of directors. In all matters other than the election of directors, the affirmative vote of the majority of shares present in person, by remote communication, or represented by proxy at a meeting of the stockholders and entitled to vote generally on the subject matter shall be the act of the stockholders. Anti-Takeover Effects of Provisions of our Certificate of Incorporation and Bylaws and Delaware Law

 

Certificate of Incorporation and Bylaws. Our amended and restated certificate of incorporation and amended and restated bylaws include a number of provisions that may deter or impede hostile takeovers or changes of control or management. These provisions include:

 

Issuance of Undesignated Preferred Stock. Board of Directors Vacancies. Our Certificate of Incorporation and Bylaws authorize only our board of directors to fill vacant directorships. In addition, the number of directors constituting our board of directors may be set only by resolution adopted by a majority vote of our entire board of directors. These provisions prevent a stockholder from increasing the size of our board of directors and gaining control of our board of directors by filling the resulting vacancies with its own nominees.

 

Stockholder Action; Special Meetings of Stockholders. Our certificate of incorporation provides that our stockholders may not take action by written consent and may only take action at annual or special meetings of our stockholders. Stockholders will not be permitted to cumulate their votes for the election of directors. We are subject to the provisions of Section 203 of the Delaware General Corporation Law regulating corporate takeovers. The Shares and the Warrants were issued by the Company pursuant to that certain (i) Securities Purchase Agreement, dated as of July 17, 2023, by and among the Company and the purchasers named therein (the “Purchase Agreement”) and (ii) engagement letter (the “Engagement Letter”) dated as of May 23, 2023, as amended on July 17, 2023, by and between the Company and H.C. Wainwright Co. LLC.

 

In connection with this opinion, we have examined and relied upon the Registration Statement, the Prospectus, the forms of the Warrants, the Purchase Agreement, the Engagement Letter, the Company’s certificate of incorporation and bylaws, as currently in effect, and originals or copies certified to our satisfaction of such records, documents, certificates, memoranda and other instruments as in our judgment are necessary or appropriate to enable us to render the opinion expressed below. We have assumed the genuineness of all signatures, the authenticity of all documents submitted to us as originals, the conformity to originals of all documents submitted to us as copies, the accuracy, completeness and authenticity of certificates of public officials; and the due authorization, execution and delivery of all documents by all persons other than the Company where authorization, execution and delivery are prerequisites to the effectiveness thereof. As to certain factual matters, we have relied upon a certificate of an officer of the Company and have not independently verified such matters.

 

Our opinion is expressed only with respect to the General Corporation Law of the State of Delaware. We express no opinion to the extent that any other laws are applicable to the subject matter hereof and express no opinion and provide no assurance as to compliance with any federal or state securities law, rule or regulation.

We express no opinion to the extent that future issuances of securities of the Company, antidilution adjustments to outstanding securities of the Company and/or other matters cause the Warrants to be exercisable for more shares of Common Stock than the number that are available for issuance by the Company. We have assumed that the per share exercise price of the Common Warrants will equal to at least the par value of the Common Stock.

 

On the basis of the foregoing, and in reliance thereon, we are of the opinion that (i) the Shares are validly issued, fully paid and nonassessable, and (ii) the Warrant Shares, when issued against payment therefor in accordance with the terms of the Warrants, will be validly issued, fully paid and nonassessable.
